This summary helps you find your way. It does not replace the terms below, which are the ones that apply.

• OneGate is the platform (back office and API) through which our own brands and B2B partners sell digital services. onegate.ro has no shopping cart and sells nothing to consumers.
• If you bought from beesim.ro or vinietabg.ro, your order is governed by the terms of that website.
• Access to a partner account and to the API is based on a separate contract or agreement. Where it says something different from these terms, it prevails.
• You keep your account and API credentials secret and you are responsible for what is done with them.
• Each account's data is isolated: no partner can see another partner's data.
• Romanian law applies.

Who we are and what these terms cover

1. The onegate.ro website and the OneGate platform are operated by Digital Wap SRL, registered office Str. Alexandru Moga 3A, Sector 3, București, România, tax ID (CUI) RO36145517, Trade Register no. J2016007621403. Our team works from Brașov. You can write to us at contact@onegate.ro or call us at (+40) 746 102 502. About the company: digitalwap.ro.
2. OneGate is B2B infrastructure: a back office with separate accounts and a REST API, through which our own brands (beeSIM, vinietabg.ro) and B2B partners sell digital services to their customers.
3. These terms apply to:
   • anyone who visits onegate.ro or reads the public API documentation;
   • B2B partners and the users of their accounts, as a general framework next to the contract or agreement we sign with each partner.
4. By using the site, you confirm that you have read and accept these terms. You can read, save and print them at any time from this page.
5. If a contract or agreement signed with us says something different from these terms, the contract or agreement applies.

If you bought from beesim.ro or vinietabg.ro

1. Orders placed on beesim.ro or vinietabg.ro are governed by the terms, refund policy and privacy policy published on those websites. That is also where you will find the right of withdrawal, complaints and the contact details for your order.
2. Some pages you open from these brands' emails (for example, the eSIM installation page or the unsubscribe link) are served from onegate.ro, the platform behind them. The terms of the brand you bought from still apply to them.
3. If you bought a service from a B2B partner that uses OneGate, your relationship is with that partner, under its own terms.

Using the site

You are free to use the site to learn what OneGate does, read the API documentation and contact us. Please do not:

• try to access our servers, accounts or systems without permission, bypass security measures or look for vulnerabilities without our written consent;
• send us bulk automated messages, spam, malicious code or illegal content;
• use the data of another person, or of a company you are not entitled to represent;
• scrape the site in volumes that put a load on our servers;
• use the site in a way that affects how it works or other users' access to it.

We may block access from addresses or devices that break these rules and report them to the authorities where appropriate.

Information on the site

1. The texts on the site and the public API documentation are general and for information only. They are not a binding offer and do not guarantee that a given service is available to you.
2. Services, prices and commercial terms are agreed with each partner, in the contract or agreement with them.
3. We do our best to keep the information accurate and up to date, but it may change without notice. If you spot a mistake, please let us know.

Your partner account

1. A partner account gives you access to the OneGate back office (orders, transactions, balance, invoices, users) and to API credentials. We enable live orders only after we sign the partnership agreement with your company.
2. We create the account when we start working together. If we give you access before the partnership agreement is signed, it is for evaluation only: you can explore the platform and the documentation, but you cannot place live orders.
3. If you create or use an account on behalf of a company, you confirm that you are entitled to represent it and that the details you give us are correct. You let us know when they change.
4. You can add other users from your company to the account. They have the same limits as the account, and you are responsible for what they do in it.
5. You can sign in with email and password or, optionally, with your Google account.
6. You keep passwords and API credentials secret, do not share them, and tell us straight away at contact@onegate.ro if you suspect someone else has them. Until you tell us, anything done with your credentials is attributed to you.

Using the API

1. The API is used over HTTPS only, with the credentials issued for your account, and only for the purpose set out in the contract: selling the services in the catalog to your customers and managing the orders.
2. Please do not:
   • send requests at a volume or rate that puts a load on the platform beyond what your business needs;
   • try to access data or resources that do not belong to your account;
   • place fraudulent orders, test orders in the live environment without our consent, or orders for services you cannot legally sell;
   • resell API access or your credentials to another company without our written consent.
3. You build your integration in the test environment (sandbox) first, then in the live one.
4. We may change the API to improve or secure it. We give affected partners advance notice of changes that break an existing integration, except for urgent security changes.

Data isolation and your customers' data

1. Each partner has a separate account. API requests and back office screens are limited to the data of the account making them, at database level. No partner can read or change another partner's data.
2. The API does not expose our suppliers' prices or our internal margins.
3. We use the customer data you send us through the API only to fulfil the order, invoice it and meet our legal obligations. For this data, you are the controller and we are a processor within the meaning of Article 28 GDPR. We process it only on your instructions, under the data processing agreement included in the partnership contract.
4. You are responsible for having a legal basis to send us your customers' data and for informing them about it.

Prices, payment and billing

1. We quote service prices to partners excluding VAT. You set the price you charge your own customers.
2. We work with two models, chosen in the contract:
   • prepay: you top up your account balance in advance and each order is deducted from it; you receive an invoice for each top-up;
   • postpay: you place orders on credit, within an agreed limit, and receive a monthly invoice with an itemised list of the period's orders.
3. We issue invoices electronically, through ProBill, our own invoicing platform, and submit them to ANAF's RO e-Factura system, as the law requires.
4. Where a partner chooses to pay by card (for example, to top up the balance), the payment is processed by Stripe. You enter your card details directly with Stripe and they never reach us.
5. Actual prices, the credit limit, payment terms and the consequences of late payment are those set out in the contract or agreement.

Platform availability

1. We make reasonable efforts to keep the platform and the API running continuously and securely. There may still be interruptions for maintenance, updates or causes outside our control, such as problems with service providers or networks.
2. Some services depend on external providers (for example, eSIM operators or the authorities that issue vignettes). When a provider does not respond, an order may be delayed.
3. A guaranteed service level (SLA) exists only if your contract provides for one.

Intellectual property

1. The OneGate platform, its code, the API documentation, the texts, the OneGate name and logo and the site design belong to us or are used by us under a valid right.
2. As a partner, you get the right to use the platform and the API only for the term of the contract and only for your own business. You may not copy, decompile or resell the platform.
3. You may quote the public documentation and use it to build your integration. You may not republish it as your own.
4. The beeSIM and vinietabg brands belong to us. Other companies' trademarks mentioned on the site belong to their owners; we use them only to describe what we do.

Links to other websites

The site links to websites that are not part of onegate.ro, such as our brands' websites or those of public authorities. Each has its own terms and privacy policy. We are not responsible for the content or availability of external websites that we do not own.

Liability

1. To the extent permitted by law, we are not liable for:
   • decisions made solely on the basis of the general information on the site;
   • interruptions or errors caused by maintenance, external providers or events outside our control;
   • the consequences of other people using your credentials before you tell us;
   • indirect losses, such as lost profit or lost business opportunities;
   • the content of external websites we link to.
2. Our liability towards a partner, including its limit, is the one set out in the contract with that partner.
3. The limits above do not apply in cases of intent or gross negligence, or where the law does not allow liability to be limited.

Suspending and closing an account

1. We may suspend an account or its credentials immediately if we suspect unauthorised access, fraud or use that puts the platform or other partners at risk. We tell you as soon as possible and restore access once the issue is cleared up.
2. Any other grounds for suspension or termination, including non-payment, and the notice periods are those set out in the contract.
3. On termination, orders already paid for are fulfilled or settled under the contract, and invoices already issued remain due.

Personal data and cookies

1. How we process personal data, how long we keep it and what your rights are: privacy policy.

Changes to these terms

1. We may change these terms, for example when the law, the platform or the way we work changes. The new version is published on this page with its update date and applies from publication.
2. We also tell partners about important changes by email. They do not change a signed contract unless the contract says so.

Complaints and dispute resolution

1. If anything is wrong, write to us at contact@onegate.ro or call us at (+40) 746 102 502. We try to settle any disagreement amicably.
2. If we cannot, the dispute is settled by the competent courts of our registered office, in Bucharest, unless your contract provides otherwise.
3. If you are a consumer, you can also contact the Romanian National Authority for Consumer Protection (ANPC), including for alternative dispute resolution (ADR): reclamatiisal.anpc.ro. Nothing in these terms limits the rights the law gives you as a consumer.

Governing law and final provisions

1. These terms are governed by Romanian law, in particular the Civil Code and Law no. 365/2002 on electronic commerce.
2. The terms are available in Romanian and English. If the two versions differ, the Romanian version prevails.
3. If a clause is declared void, the others remain valid, and the void clause is replaced by the one that best serves its purpose within the limits of the law.
